1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and ChakraBit LLP ("we," "us," or "Company"), a Limited Liability Partnership registered in Mumbai, India. These Terms govern your access to and use of our website at www.chakrabit.com, our SaaS products including InboundKit (www.inboundkit.dev), and any related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.
2. Description of Services
ChakraBit LLP provides:
- Software consulting services: Custom mobile app development, web application development, and AI-powered solution development, provided under separate engagement agreements
- SaaS products: Cloud-based software tools, including InboundKit, available via subscription
We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice.
3. Eligibility
You must be at least 18 years of age and capable of entering into a binding legal agreement to use our Services. By using our Services, you represent and warrant that you meet these requirements. If you are using our Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
4. Account Registration
Certain Services may require you to create an account. When you do, you agree to:
- Provide accurate, current, and complete information
- Keep your account credentials secure and confidential
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that violate these Terms or that appear to be fraudulent.
5. Acceptable Use
You agree not to use our Services to:
- Violate any applicable law, regulation, or third-party rights
- Transmit malware, viruses, or any harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use automated tools to scrape, crawl, or extract data from our Services without permission
- Interfere with or disrupt the integrity or performance of our Services
- Use our Services for any unlawful, fraudulent, or deceptive purpose
- Reverse-engineer, decompile, or disassemble any part of our Services
6. Consulting Services
Software consulting engagements are governed by separate Statements of Work (SOW) or engagement agreements executed between ChakraBit LLP and the client. In the event of a conflict between these Terms and a signed engagement agreement, the engagement agreement shall prevail for the scope of that engagement.
7. SaaS Subscriptions and Payments
Subscriptions: Access to our SaaS products may be offered on a free, trial, or paid subscription basis. Details of available plans, features, and pricing are provided on the respective product websites.
Billing: Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). Payments are processed through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on each billing cycle.
Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods unless required by applicable law.
Refunds: Refund requests are handled on a case-by-case basis. If you believe you are entitled to a refund, please contact us at hello@chakrabit.com within 14 days of the charge.
Price changes: We may change subscription pricing with at least 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
8. Intellectual Property
Our property: All content, features, and functionality of our Services — including but not limited to text, graphics, logos, software, and design — are owned by ChakraBit LLP and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
Your content: You retain ownership of any data, content, or materials you submit to our Services ("User Content"). By submitting User Content, you grant us a limited, non-exclusive license to use, process, and store it solely to provide the Services to you.
Consulting deliverables: Ownership of work product created during consulting engagements is governed by the applicable engagement agreement.
9. Data and Privacy
Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our Services, you consent to the practices described in the Privacy Policy.
10. Service Availability and Support
We strive to maintain high availability of our Services but do not guarantee uninterrupted access. Our Services may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
Support for our SaaS products is provided via email at hello@chakrabit.com during business hours (IST, Monday to Friday).
11. Disclaimer of Warranties
Our Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Services will be uninterrupted, error-free, or completely secure
- The results obtained from the Services will be accurate or reliable
- Any defects will be corrected within a specific timeframe
12. Limitation of Liability
To the maximum extent permitted by applicable law, ChakraBit LLP and its partners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of our Services.
Our total aggregate liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless ChakraBit LLP and its partners, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of a third party
- Any User Content you submit through our Services
14. Termination
We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice, if we reasonably believe you have violated these Terms. Upon termination:
- Your right to use the Services ceases immediately
- We may delete your account data after a reasonable period (typically 90 days), unless retention is required by law
- Provisions that by their nature should survive termination (including Sections 8, 11, 12, 13, and 16) shall continue to apply
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page with an updated "Last updated" date. For significant changes, we may also notify you via email if you have an account with us.
Your continued use of the Services after revised Terms become effective constitutes your acceptance of the revised Terms.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.
Before initiating any legal proceeding, both parties agree to attempt to resolve the dispute through good-faith negotiation for a period of at least 30 days.
17. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy and any applicable engagement agreements, constitute the entire agreement between you and ChakraBit LLP regarding the Services.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
